These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Zocial LLC, a company registered in Seoul, South Korea ("Company," "we," "us," or "our"). By accessing or using the Zocial platform ("Platform," "Service"), you agree to be bound by these Terms.

1.1 Platform Services

Zocial is a comprehensive Web3 super application that provides multiple integrated services including:

• Z-Trade: Internal cryptocurrency and token trading platform
• ZocialMart: E-commerce marketplace for goods and services
• Z-Agri: Agricultural products marketplace
• Z-Artisans: Handicrafts and artisan goods marketplace
• ZocialJobs: Freelance and employment platform
• ZocialLend: Peer-to-peer lending and borrowing services
• ZocialMeet: Video conferencing and communication tools
• ZocialStream: Content creation and streaming platform
• MLM System: Multi-level marketing and referral programs
• ROI Plans: Investment and return programs

1.2 Service Availability

We strive to maintain continuous service availability but do not guarantee uninterrupted access. We reserve the right to suspend, modify, or discontinue any aspect of our services with or without notice.

2.1 Age Requirements

You must be at least 18 years old to use our Platform. By using our services, you represent and warrant that you meet this age requirement.

2.2 Legal Capacity

You must have the legal capacity to enter into binding agreements in your jurisdiction. If you are using our services on behalf of a company or other legal entity, you must have the authority to bind that entity to these Terms.

2.3 Restricted Jurisdictions

Our services may not be available in all jurisdictions. You are responsible for ensuring that your use of our Platform complies with local laws and regulations. We reserve the right to restrict access from certain jurisdictions at our discretion.

3.1 Account Creation

To access certain features of our Platform, you must create an account by providing accurate, current, and complete information. You agree to update your information as necessary to keep it accurate and current.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

3.3 Account Verification

• You may lose some or all of your invested funds
• We are not responsible for market movements or trading losses

4.2 Investment Programs

Our ROI plans and investment programs are subject to market conditions and business performance. Returns are not guaranteed, and you may lose your principal investment. All investment decisions are made at your own risk.

4.3 MLM and Referral Programs

Participation in our MLM system is voluntary. Earnings from referrals and network marketing are not guaranteed and depend on your efforts and market conditions. We reserve the right to modify or terminate these programs at any time.

You agree not to engage in any of the following prohibited activities:

5.1 Illegal Activities

• Money laundering or terrorist financing
• Fraud, theft, or any criminal activity
• Violation of applicable laws and regulations

5.2 Platform Abuse

• Creating multiple accounts to circumvent restrictions
• Manipulating markets or engaging in wash trading
• Using automated systems without authorization
• Attempting to hack or compromise platform security

5.3 Content Violations

• Posting harmful, offensive, or inappropriate content
• Infringing on intellectual property rights
• Spreading false or misleading information
• Harassment or abuse of other users

6.1 Platform Rights

All content, features, and functionality of the Zocial Platform, including but not limited to text, graphics, logos, icons, images, audio clips, and software, are the exclusive property of Zocial LLC or its licensors and are protected by copyright, trademark, and other intellectual property laws.

6.2 User Content

You retain ownership of content you submit to our Platform but grant us a worldwide, non-exclusive, royalty-free license to use, modify, and distribute your content in connection with our services.

6.3 Trademark Usage

The Zocial name, logo, and related marks are trademarks of Zocial LLC. You may not use our trademarks without our prior written consent.

7.1 Service Disclaimer

Our Platform is provided "as is" and "as available" without warranties of any kind, either express or implied. We disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

7.2 Liability Limitation

To the fullest extent permitted by law, Zocial LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of our Platform.

7.3 Maximum Liability

In no event shall our total liability to you exceed the amount you have paid to us in the twelve (12) months preceding the claim.

8.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of South Korea, without regard to its conflict of law principles.

8.2 Dispute Resolution

Any disputes arising from these Terms or your use of our Platform shall be resolved through binding arbitration in Seoul, South Korea, in accordance with the rules of the Korean Commercial Arbitration Board.

8.3 Class Action Waiver

You agree that any arbitration or legal proceeding shall be conducted on an individual basis and not as part of a class action or collective proceeding.

We reserve the right to modify these Terms at any time. We will notify users of material changes by:

• Posting updated Terms on our Platform
• Sending email notifications to registered users
• Displaying prominent notices on our Platform

Your continued use of our Platform after such modifications constitutes acceptance of the updated Terms.
